Welcome to the Dhruv Sales B2B Portal. By accessing our website, interacting with our digital platforms, or placing an order with us, you agree to be bound by the following terms and conditions. Please read them carefully.

1. General Provisions & Legal Entity

Dhruv Sales operates as a Sole Proprietorship founded and owned by Mr. Manish Agarwal. We operate exclusively as a Business-to-Business (B2B) FMCG distribution house.

Mandatory GSTIN: We require a valid Goods and Services Tax Identification Number (GSTIN) from all buyers to process wholesale purchases. Any failure to provide a valid GSTIN, or the submission of fraudulent business information, will result in the immediate and permanent ban of the user's account and affiliated profiles from our network.

2. Order Acceptance & Market Volatility

All orders placed through our network are subject to final approval and inventory availability. Due to the dynamic nature of FMCG commodity markets, prices are subject to change without prior notice. Dhruv Sales reserves the right to decline or cancel any order, in whole or in part, before dispatch—even if an initial payment has been processed—in the event of sudden market price fluctuations, rate spikes, or supply shortages. In the event of a cancellation initiated by us, a full and immediate refund of the advance amount will be processed to the original payment method. Refunds typically reflect in the buyer's account within 6 to 7 business days.

3. Payment Terms & Credit Lines

All initial orders require 100% advance payment to confirm dispatch.

Offline / Phone Orders: For orders finalized via phone, we accept payments via cheque. However, the order will only be dispatched strictly after the cheque has been successfully cleared and credited to our account.
Credit Line Eligibility: Dhruv Sales values long-term partnerships. After a partner completes five (5) consecutive and fully settled transactions, they may become eligible for a line of credit. This credit line extends to a maximum period of one (1) week and is strictly subject to an on-site physical verification and approval process conducted by our authorized sales team.

4. Shipping, Deliveries & Transit Liability

Our delivery zones and minimum order quantities (MOQs) dictate the scale of our dispatch, radiating from our Sahibabad warehousing hub (Zone 1: 10km radius up to Zone 4: Pan-India operations).

Transfer of Risk: If Dhruv Sales provides the transport and logistics, we bear the liability for the goods while in transit. However, if the buyer chooses to utilize their own designated transport or logistics partner, the full responsibility and liability for the goods transfer entirely to the buyer the moment the shipment leaves our Sahibabad warehouse.

5. Returns & Claims Policy

Due to the perishable and fast-moving nature of our commodities, we have a strict verification process for damages or discrepancies.

Investigation Required: Any claims regarding damaged, leaking, or expired goods must be reported immediately upon receipt. A formal return summary will only be prepared and authorized after a physical investigation is conducted by a Dhruv Sales representative at the buyer's premises.
Resolution: Upon successful verification of a valid claim, Dhruv Sales will issue a formal credit note to the aggrieved party. This credit note will be adjusted against the buyer's subsequent invoice. We do not provide physical product replacements for damaged goods.

6. Digital Consent & Communications

By submitting your contact details, business information, or inquiry through our website forms, you provide explicit consent to be contacted by Dhruv Sales. This includes being routed into our Customer Relationship Management (CRM) systems and receiving automated business communications, follow-ups, and updates via email and WhatsApp.

7. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal disputes, claims, or controversies arising out of or relating to these terms, or any business transactions with Dhruv Sales, shall be subject to the exclusive jurisdiction of the competent courts located in Ghaziabad, Uttar Pradesh, regardless of the delivery destination of the goods.
